What this is
These are the Terms of Service for Ledgentry — the back-office software at ledgentry.com. By creating an account, you agree to these terms. If you don't, don't create an account.
Who can use it
You need to be at least 18 years old and legally able to enter into a binding agreement in your jurisdiction. Ledgentry is designed for US freelancers filing Schedule C (sole proprietors and single-member LLCs). You're welcome to try it from outside the US, but tax features assume US rules and we don't guarantee accuracy anywhere else.
One account per person. Don't share your account with others; each person who uses Ledgentry should sign up for their own account.
Your account
Authentication is passwordless — either a magic link sent to your email or Google sign-in. You're responsible for keeping access to that email/Google account secure. If someone else gets into your email, they can get into your Ledgentry account. If you suspect unauthorized access, email support@ledgentry.com immediately.
Subscription and billing
Ledgentry is a paid service. After a free trial (currently 14 days), you'll need an active subscription to continue using the app.
- Subscription fees are billed monthly or annually, in advance, to the payment method on file (processed by Stripe).
- Prices are in US dollars. Taxes may be added based on your billing location.
- We may change pricing — if we do, we'll give you at least 30 days' notice via email before the change takes effect on your account. You can cancel before then if you don't want to continue at the new price.
- No refunds for partial months if you cancel mid-cycle, except where required by applicable law — your access continues through the end of the period you've paid for.
- Subscriptions auto-renew at the end of each billing period until canceled. You can cancel any time via the billing page in-app or through the Stripe customer portal. Cancellation takes effect at the end of your current billing period.
Invoice payments (Stripe Connect)
Ledgentry lets your own clients pay your invoices through Stripe. You connect your own Stripe account; your clients' payments go directly to you. Ledgentry never holds your funds. Stripe's fees (currently 2.9% + $0.30 per card transaction) are deducted by Stripe and are your responsibility, not ours.
Chargebacks, disputes, and refund requests from your clients are between you, your client, and Stripe. We're not a party to that — we just facilitate the payment link.
Your data
You own everything you put into Ledgentry — your clients, invoices, expenses, proposals, and any content you create. We only store and process it to run the service for you. See the Privacy Policy for how we handle it.
You can export your data at any time (most major types have in-app CSV/PDF export). You can delete your account at any time by emailing us; we'll remove everything within 30 days, except where retention is required for legal, accounting, or backup purposes.
You grant Ledgentry a limited, non-exclusive, royalty-free license to use, store, process, and display your content solely as necessary to operate, maintain, and improve the Service. This license terminates when you delete your account.
You're responsible for the accuracy of what you put in. If you enter a wrong tax rate or miscategorize an expense, that's on you to fix. Our AI drafting features help, but they produce drafts — you approve before anything sends or gets filed.
Acceptable use
Don't use Ledgentry to:
- Send spam, phishing emails, or fraudulent invoices.
- Invoice people who haven't agreed to do business with you (we will investigate complaints from your clients and may terminate accounts that abuse this).
- Break any law — tax evasion, money laundering, sanctions violations, etc.
- Reverse-engineer, scrape, or attack the service (including rate-limit abuse of AI features).
- Share your account credentials or circumvent our subscription limits.
- Upload malware, illegal content, or content that violates others' IP.
If we become aware of violations, we may suspend or terminate your account immediately, with or without notice, depending on severity. We also reserve the right to refuse service to anyone for any reason at our sole discretion, subject to applicable law.
Indemnification
You agree to indemnify, defend, and hold harmless Ledgentry, its operators, and its service providers from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorney fees) arising out of or in any way connected with: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any rights of a third party (including any client you invoice through Ledgentry); (d) any content you submit, send, or transmit through the Service; or (e) your tax filings or financial decisions made in reliance on AI-generated drafts.
AI features: what they are and aren't
Ledgentry uses AI (currently powered by Anthropic's Claude) to draft invoice line items, proposals, reminders, and expense categorizations, and to answer natural-language questions about your finances.
These are drafts and suggestions, not professional advice. Tax estimates, Schedule C categorizations, and financial Q&A answers are informational only — they are NOT tax advice, legal advice, or financial advice. Confirm important numbers with a qualified CPA or tax professional before filing.
AI output can be wrong. We've built the system to flag uncertainty rather than confidently guess, but mistakes can still happen. You're responsible for reviewing every AI-generated draft before sending, filing, or relying on it.
You remain solely responsible for compliance with all tax, accounting, financial, and regulatory obligations applicable to your business. Ledgentry and its operators bear no liability for any penalties, interest, audits, or losses resulting from your use of AI-generated content.
No guarantee of availability
We try hard to keep Ledgentry up, but we don't guarantee uptime. Scheduled maintenance, third-party outages (Supabase, Stripe, Brevo, Anthropic, Vercel, AWS, Cloudflare), and unforeseen issues happen. We'll communicate major outages on our status channels when we can.
Force majeure
Neither party will be liable for any failure or delay in performance under these Terms (other than payment obligations) caused by events beyond its reasonable control, including but not limited to: acts of God; natural disasters; war, terrorism, or civil unrest; labor disputes; government actions or sanctions; internet, telecommunications, or third-party service outages (including outages of Supabase, Stripe, Brevo, Anthropic, Vercel, AWS, or Cloudflare); cyberattacks; and pandemics or public health emergencies.
Termination
You can cancel your subscription and/or delete your account any time.
We can terminate or suspend your account for violation of these terms, prolonged nonpayment, or legal reasons. We'll refund any prepaid-but-unused time unless the termination is for serious cause (fraud, harassment, illegal activity).
Disclaimers
Ledgentry is provided "as is" and "as available". To the maximum extent permitted by law, we disclaim all warranties — including warranties of merchantability, fitness for a particular purpose, and non-infringement.
Specifically, we do not warrant that: the Service will meet your specific tax, accounting, or business needs; integrations with third-party services (Stripe, Brevo, Anthropic, Supabase, Cloudflare, Vercel) will be uninterrupted or remain available; AI-generated output will be accurate or complete; tax calculations will match your actual tax liability; or all features will remain available indefinitely.
Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY TO YOU FOR ANY CLAIM ARISING OUT OF OR RELATED TO LEDGENTRY IS LIMITED TO THE AMOUNT ACTUALLY PAID BY YOU TO LEDGENTRY IN THE 12 MONTHS PRECEDING THE CLAIM, OR $100, WHICHEVER IS GREATER. WE ARE NOT LIABLE FOR INDIRECT, CONSEQUENTIAL, INCIDENTAL, OR SPECIAL DAMAGES — INCLUDING LOST PROFITS, LOST CLIENTS, MISSED TAX DEADLINES, OR DATA LOSS — EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY.
These limitations do not apply to liability for fraud, willful misconduct, or gross negligence, or to any other liability that cannot be limited or excluded under applicable law.
Governing law and disputes
These terms are governed by the laws of the State of Texas and applicable US federal law, without regard to conflicts-of-law principles. The exclusive venue for any dispute not subject to arbitration shall be the state or federal courts located in Travis County, Texas.
Disputes will first be addressed by good-faith negotiation. If negotiation fails, any unresolved dispute will be settled by binding arbitration administered by JAMS under its Streamlined Arbitration Rules and Procedures, with the arbitration seated in Travis County, Texas (or via videoconference if mutually agreed).
Class action waiver. You and Ledgentry agree that all claims must be brought in your individual capacity, not as a class, collective, consolidated, or representative action. The arbitrator may not consolidate claims or preside over any form of class proceeding.
You may opt out of the arbitration agreement within 30 days of creating your account by emailing support@ledgentry.com with "Arbitration opt-out" in the subject line. Opting out does not affect any other provision of these terms.
Changes to these terms
We may update these terms occasionally. If the changes are meaningful, we'll email you at the address on file at least 14 days before the new version takes effect. Continued use of the Service after the effective date counts as acceptance of the updated terms. If you do not agree to the revised terms, you must stop using the Service and cancel your subscription before the effective date.
Assignment
You may not assign or transfer these Terms, by operation of law or otherwise, without our prior written consent. Any attempted assignment without consent is void. Ledgentry may assign or transfer these Terms, in whole or in part, without restriction — including in connection with a merger, acquisition, corporate reorganization, or sale of assets — provided your rights under these Terms are preserved in any successor.
Notices
We may give notices to you by email (to the address associated with your account), by posting in the Service, or by posting on the Ledgentry website. You agree that electronic notices satisfy any legal requirement that such notices be in writing. Notices to Ledgentry must be sent to support@ledgentry.com. Notices are deemed given upon delivery (for emails, when sent without bounce; for posted notices, when first published).
Severability
If any provision of these terms is held to be invalid, illegal, or unenforceable under applicable law, the remaining provisions will continue in full force and effect. The invalid provision will be modified or interpreted to the minimum extent necessary to make it enforceable while preserving the parties' original intent.
Entire agreement
These terms, together with our Privacy Policy, constitute the entire agreement between you and Ledgentry regarding your use of the Service and supersede any prior agreements or understandings on the same subject.
